Terms of Use for the memovu app

1. Provider and scope

(1) The memovu app is provided by memo labs UG (haftungsbeschränkt), represented by its managing director Sascha Kaderka, Kolonnenstraße 8, 10827 Berlin, Germany, phone +49 30 4243 4444, e-mail support@memolabs.de ("memo labs", "we").

(2) These terms govern your use of the memovu app for Android and the free memovu app for Fire TV, including memovu Pro. For Pro bought or trialled in the app through Google Play, they are the end-user licence agreement between you and memo labs. You agree to them in the app before buying or starting the trial.

2. Free features

You may use the free features for any purpose, private or commercial. To that extent we extend the licence under the Google Play Terms of Service.

3. memovu Pro

(1) You buy memovu Pro (one-time purchase, yearly, monthly) in the app through Google Play. Google is the seller. Purchase, payment, renewal, cancellation and refunds are governed by Google Play's terms.

(2) Pro is a licence for private use. This matches the Google Play Terms of Service, under which content obtained through Google Play is licensed for personal, non-commercial use only. This also applies to the free trial and the taste. You may use Pro on your devices, also together with family and friends.

(3) Commercial use is not covered. Use is commercial if it is

• for a business,
• for self-employed professional work,
• for running an institution or organisation (for example a care home, practice, shop, hotel, venue, studio, nursery, school or public authority),
• at events with paid admission or fees.

Commercial use requires a separate licence from memo labs.

(4) Use stays private if you use memovu with your own phone as a resident, relative, visitor or guest of such an institution. For example, you show family photos to your mother in her care home.

(5) Yearly and monthly plans renew automatically for one year or one month until you cancel them in Google Play. Cancellation takes effect at the end of the paid period; Pro stays active until then.

(6) The app manages the 48-hour Pro trial itself. It starts by itself as soon as the first photo or video appears on a TV, applies once per phone, needs no payment details, ends by itself and never becomes paid. The taste lets you try each Pro feature briefly once.

4. One-time purchase

(1) "No expiry" means: your right of use from the one-time purchase has no end date and there are no further payments. It applies to memovu for Android under your Google account; on a new device, use "Restore purchases". The free memovu app on Fire TV needs no separate purchase. Section 3(2) to (4) applies to the purpose of use.

(2) It includes the Pro features described in the app at the time of purchase; we will not remove them through an update. Features that rely on third-party offerings (such as websites for web video, Google Cast or your TV's operating system) may change if the third party changes its offering; your statutory rights remain unaffected. New features may be added to Pro or offered separately.

(3) We provide the updates needed to keep memovu in conformity and secure until at least 31 December 2031 and beyond that for as long as we offer memovu Pro on Google Play. We state the current end date here, in the app before purchase and in the store description. Longer statutory obligations remain unaffected.

(4) If we discontinue memovu, we will, where we are able to, announce it at least six months in advance in the app and on our website and release a final update that keeps Pro unlocked on your device without checking Google Play. memovu needs no memo labs servers, so it keeps working as long as your phone, your TV and their systems run it. If you can no longer restore your purchase, e-mail support@memolabs.de with your Google Play order number (starting with GPA.) and we will send you a licence code that unlocks Pro with no expiry. This also applies if memovu is no longer available on Google Play.

(5) If we transfer memovu to another company, we will oblige the acquirer to honour existing one-time purchases on these terms and inform you in the app.

(6) Your statutory rights for defects (§§ 327 et seq. German Civil Code) remain unaffected; this section adds to them and does not limit them.

5. Licence codes

Features unlocked with a licence code are governed by the terms agreed when the code was acquired.

6. Right of use

We grant you a simple, non-transferable right to use memovu under these terms. You must not circumvent the licence check. Your statutory rights under sections 69d and 69e of the German Copyright Act remain unaffected. All other rights in the app remain with memo labs.

7. Your content

Your photos, videos and music remain yours. They stay on your local network and are not sent to memo labs. You are responsible for having the right to show them.

8. Warranty, updates and liability

(1) Your statutory rights for defects in digital products remain unaffected. During a subscription we provide the necessary updates for its duration; for the one-time purchase, section 4(3) applies.

(2) We are fully liable for intent, gross negligence, injury to life, body or health, under the Product Liability Act and within any guarantee given.

(3) For slight negligence, we are liable only for breach of essential obligations and limited to typical, foreseeable damage. Otherwise, liability for slight negligence is excluded. Statutory rights under para. 1 remain unaffected.

9. Privacy

How we handle data is described in the privacy policy, in the app under Settings → Privacy and on our website.

10. Changes and versions

The version you agreed to when buying or starting the trial applies to you. Later changes apply only if you agree to them. The app contains the version belonging to it; earlier versions are listed below.

11. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection in your country of residence remains unaffected. Place of jurisdiction for merchants and public bodies is Berlin. memo labs is not willing or obliged to take part in dispute resolution proceedings before a consumer arbitration board. If a provision is invalid, the remaining provisions remain valid.
